These Terms of Service form a binding agreement between you and Co-Syne Technologies, Inc. By accessing or using CogniNet, creating an account, starting a trial, or purchasing a subscription, you agree to these Terms and acknowledge the Privacy Policy. If you do not agree, do not use the Service.
1. Agreement and defined terms
“CogniNet,” “Service,” “we,” “us,” and “our” refer to the CogniNet platform and Co-Syne Technologies, Inc. “You” and “user” refer to the person using the Service and, when applicable, the organization on whose behalf that person acts. “Project Content” means ideas, invention descriptions, files, research, prompts, messages, diagrams, specifications, evidence, and other material submitted to or created within a user workspace. “Output” means material generated by the Service in response to user instructions or Project Content.
These Terms incorporate the Privacy Policy and any plan-specific terms presented at checkout. If a separate written agreement signed by Co-Syne Technologies, Inc. conflicts with these Terms, the signed agreement controls for the subject it covers.
2. Eligibility and users under 18
You must be at least 13 years old to use CogniNet. The Service is not directed to children under 13, and they may not create accounts or submit personal information.
If you are 13 through 17 years old, you may use CogniNet only with the consent and supervision of a parent or legal guardian. Your parent or guardian must review and agree to these Terms on your behalf and is responsible for your use of the Service. We may request reasonable age or consent verification and may suspend an account if required consent cannot be verified.
If you use CogniNet for an organization, you represent that you have authority to bind that organization. If you lack that authority, you may use the Service only in your individual capacity.
3. Accounts and security
- Provide accurate account information and keep it current.
- Keep credentials and Vault passphrases confidential and do not share accounts except through authorized team features.
- Notify us promptly through the Contact Support page if you suspect unauthorized access.
- Accept responsibility for activity under your account unless caused by our breach of these Terms or applicable law.
You may not attempt to access another user’s account, workspace, encryption keys, or Project Content. Vault passphrases are not stored by CogniNet and may not be recoverable if lost.
4. Service purpose and limitations
CogniNet provides software tools for invention development, research organization, systems thinking, project planning, and preparation of materials for professional review. Features and limits depend on the selected plan, usage allocation, and account permissions.
CogniNet is not a law firm, patent attorney, patent agent, engineering certification body, investment adviser, broker, medical provider, government agency, or substitute for a qualified professional. The Service does not provide legal, patentability, freedom-to-operate, engineering, investment, medical, regulatory, or safety opinions.
Prior-art and competitive research may be incomplete, outdated, incorrectly categorized, unavailable, or affected by database and language limitations. Outputs may contain errors or omit important information. You must independently review important results and consult qualified professionals before filing an application, manufacturing a product, raising capital, making disclosures, or relying on an Output.
5. Trials subscriptions and payments
Trial terms, subscription prices, included features, usage limits, taxes, billing periods, and renewal terms are displayed before enrollment or purchase. A trial does not convert to a paid plan unless you deliberately select a plan and authorize payment.
Paid subscriptions renew for the selected billing period until canceled.
You authorize the payment processor to charge the disclosed price and applicable taxes.
You may cancel future renewal through the account subscription controls. Cancellation takes effect at the end of the paid period unless applicable law requires otherwise.
Except where required by law or expressly stated at purchase, fees already paid are nonrefundable and partial billing periods are not prorated.
We may change future prices after reasonable advance notice. A new price will not apply before your next renewal following the notice period.
Optional reports, consultations, and other one-time services are charged only after you affirmatively order them. A “Coming Soon” feature is not available for purchase until activated with applicable terms.
6. Your content and intellectual property
As between you and CogniNet, you retain ownership of your original Project Content. CogniNet does not become an inventor, co-inventor, owner, or assignee merely by processing or organizing Project Content. Ownership and inventorship under patent law depend on facts and law and should be assessed by qualified patent counsel.
You grant Co-Syne Technologies, Inc. a limited, nonexclusive, worldwide license to host, reproduce, transmit, process, encrypt, display, and otherwise use Project Content only as reasonably necessary to provide, secure, maintain, troubleshoot, and improve the user-requested Service; comply with law; enforce these Terms; and prevent abuse. This license ends when the content is deleted from active systems, subject to reasonable backup retention, legal obligations, and deidentified records.
You represent that you have the rights and permissions needed to submit Project Content and that our authorized processing of it will not violate another person’s rights, contract, protective order, law, or confidentiality obligation.
7. Outputs and invention decisions
Subject to these Terms and applicable law, we do not claim ownership of Output generated specifically for you. Similar or identical Output may be generated for other users because AI systems can produce similar results from similar instructions. Output may not be unique, protectable, accurate, complete, or free of third-party rights.
CogniNet cannot determine inventorship, patent ownership, novelty, nonobviousness, enablement, freedom to operate, regulatory approval, commercial viability, or entitlement to funding. You are responsible for reviewing Output, preserving filing deadlines, documenting human contributions, and deciding whether and how to use or disclose it.
8. Privacy and confidential project handling
We handle personal information as described in the Privacy Policy. Private Project Content is not intentionally made public without your direction. Authorized personnel and service providers may access information when reasonably necessary to operate, secure, support, or comply with law for the Service.
CogniNet is not your attorney, patent agent, fiduciary, or professional adviser. Using the Service does not create attorney-client privilege, work-product protection, a fiduciary duty, or another professional confidentiality relationship. You should not disclose information subject to a third party’s confidentiality restrictions unless authorized.
We will not use Private Project Content to train general-purpose AI models, or permit an AI service provider to do so, unless you give separate affirmative consent. This commitment does not prevent limited processing needed to provide requested features, detect abuse, maintain security, or create deidentified operational statistics that cannot reasonably identify you or reconstruct the substance of an invention.
9. Acceptable use
You may not use the Service to:
- Violate law, infringe intellectual property, breach confidentiality, or evade legal restrictions.
- Develop or facilitate weapons, malware, fraud, impersonation, stalking, exploitation, unlawful surveillance, or physical harm.
- Submit illegal content or content that sexually exploits or endangers a minor.
- Probe, scan, disrupt, overload, reverse engineer, or circumvent security, access controls, usage limits, or payment controls, except to the extent a restriction is prohibited by law.
- Scrape the Service, resell account access, or use automated means beyond documented interfaces.
- Represent CogniNet research as a legal opinion, government search, professional certification, or guaranteed result.
- Use Output as the sole basis for decisions that determine another person’s eligibility for employment, housing, credit, insurance, education, medical treatment, legal services, or other high-impact services.
10. Collaboration sharing and third party services
If you share a project, invite a collaborator, or create an attorney-review link, you authorize disclosure to the recipients you select. You are responsible for selecting recipients, setting permissions, revoking access when appropriate, and confirming that disclosure will not harm potential intellectual-property rights.
The Service may rely on payment, cloud hosting, authentication, communications, analytics, search, and AI providers. Their processing is governed by our agreements and the Privacy Policy. Third-party websites and services linked from CogniNet are governed by their own terms. We are not responsible for third-party services that we do not control.
11. CogniNet technology and feedback
CogniNet and its licensors own the Service, software, workflows, interfaces, branding, documentation, and related technology, excluding your Project Content and user-specific Output. These Terms grant only a limited, revocable, nontransferable right to use the Service for its intended purpose.
If you voluntarily provide suggestions about the Service, you grant us a perpetual, worldwide, royalty-free right to use those suggestions without identifying you or disclosing Private Project Content. You are not required to provide feedback.
12. Suspension and termination
You may stop using CogniNet at any time and may request account deletion through the available account controls. We may suspend or terminate access for material breach, unlawful or harmful use, security risk, nonpayment, or when required by law. When reasonably practicable, we will give notice and an opportunity to cure before termination, except for urgent safety, fraud, security, legal, or system-integrity concerns.
Before closing an account, export information you wish to retain. Deletion and retention are governed by the Privacy Policy and applicable law. Sections that by their nature should survive termination remain effective, including ownership, payment obligations, disclaimers, liability limits, dispute terms, and enforcement provisions.
13. Service availability and changes
We may update, add, limit, or discontinue features. We do not guarantee uninterrupted or error-free operation, permanent availability of a particular feature, or compatibility with every device or third-party service. We will provide reasonable notice before a material change that substantially reduces a paid core feature, when practicable.
14. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” CO-SYNE TECHNOLOGIES, INC. DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT. WE DO NOT WARRANT THAT THE SERVICE OR ANY OUTPUT WILL BE COMPLETE, SECURE, ERROR-FREE, UNIQUE, PATENTABLE, COMMERCIALLY SUCCESSFUL, OR SUITABLE FOR A PARTICULAR USE.
Some jurisdictions do not allow certain warranty exclusions. In those jurisdictions, these exclusions apply only to the extent permitted by law. Nothing in these Terms waives nonwaivable consumer rights.
15. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CO-SYNE TECHNOLOGIES, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY; MISSED FILING OR DISCLOSURE DEADLINES; LOSS OF INTELLECTUAL-PROPERTY RIGHTS; OR DECISIONS BASED ON OUTPUT, EVEN IF ADVISED THAT SUCH DAMAGES ARE POSSIBLE.
OUR TOTAL LIABILITY ARISING FROM OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS OR THE AMOUNT YOU PAID TO COGNINET DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THIS LIMIT DOES NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED, INCLUDING LIABILITY FOR WILLFUL MISCONDUCT WHERE APPLICABLE.
16. Indemnification
To the extent permitted by law, you will defend and indemnify Co-Syne Technologies, Inc. against third-party claims arising from your unlawful Project Content, your material breach of these Terms, or your infringement or misuse of another person’s rights. This obligation does not apply to the extent a claim results from our breach, negligence, or willful misconduct. We will give reasonable notice and allow you to control the defense, subject to our right to participate and approve any settlement that imposes liability, admissions, or continuing obligations on us.
17. Governing law and disputes
Delaware law governs these Terms, without regard to conflict-of-law rules, except that mandatory consumer protections of your home jurisdiction continue to apply. Before filing a lawsuit, each party will provide written notice of the dispute through the Contact Support page and allow 30 days for a good-faith effort to resolve it.
Unless applicable law requires another forum, the state and federal courts located in New Castle County, Delaware have exclusive jurisdiction. Each party consents to personal jurisdiction and venue in those courts. These Terms do not require arbitration and do not prevent either party from seeking emergency injunctive relief or using an eligible small-claims process.
18. Changes to these terms
We may revise these Terms. We will post the revised Terms with a new effective date and provide reasonable advance notice of material changes through the Service or account contact information. A material change will apply prospectively. Continued use after the effective date constitutes acceptance, but we will request renewed affirmative consent when required by law. We will not quietly expand our right to use Private Project Content for model training or unrelated purposes without clear notice and any consent required by law.
19. Notices and contact
Legal, billing, privacy, and account questions may be submitted at https://cogninet.app/contact-support. Notices to you may be delivered through the Service or the email address associated with your account. You are responsible for keeping that address current.
20. General terms
These Terms and incorporated policies are the entire agreement concerning the Service unless a signed written agreement states otherwise. If a provision is unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will continue. A waiver must be written and applies only to the stated instance. You may not assign these Terms without our consent; we may assign them in connection with a merger, financing, reorganization, sale of assets, or operation of the Service, subject to the Privacy Policy and applicable law. Headings are for convenience and do not limit the Terms.
